What you'll do:

As a Compliance Officer within this respected financial technology organisation based in BGC, Taguig (hybrid), you will be responsible for supporting regulatory compliance efforts across a diverse portfolio of financial products. Your day-to-day activities will involve collaborating with internal teams to oversee product compliance for both business-to-business (B2B) and business-to-consumer (B2C) offerings. You will play a crucial role in developing corporate governance frameworks that align with local regulatory expectations from authorities such as BSP and SEC. By coordinating Board- and Management-level Committees across subsidiaries, you will help maintain effective governance structures. Your responsibilities also include preparing essential documentation for board meetings, tracking board composition criteria, managing training requirements for directors, ensuring timely submission of regulatory reports, coordinating self-assessments of governance practices, monitoring adherence to key policies across the group, and participating in fit-and-proper assessments. Success in this role requires meticulous attention to detail, strong organisational skills, excellent communication abilities, and a collaborative approach when working with cross-functional teams.

  • Ensure ongoing compliance of all products and services with applicable regulations and internal policies by conducting thorough reviews and monitoring activities.
  • Provide comprehensive product compliance oversight for both B2B and B2C financial offerings, integrating regulatory considerations during product development and enhancements.
  • Assist in developing, maintaining, and implementing the group’s Corporate Governance Framework in alignment with BSP and SEC expectations, ensuring robust governance structures.
  • Coordinate the establishment and maintenance of Board- and Management-level Committees across various subsidiaries, facilitating effective governance processes.
  • Support the implementation of governance-related circulars such as BSP Circular 1127, SEC MC No. 24 s. 2019, and SG Guidelines on Corporate Governance where relevant.
  • Oversee preparation of board packs, resolutions, meeting minutes, and other documentation required for Board and Committee meetings, ensuring accuracy and timeliness.
  • Monitor board composition, term limits, independence criteria, training requirements, and continuing education obligations to ensure full regulatory compliance.
  • Ensure timely filing of Annual Corporate Governance Reports and similar requirements to BSP, SEC, MAS by coordinating reporting activities across the group.
  • Coordinate self-assessment of governance practices, Board evaluations, and related surveys to drive continuous improvement in governance standards.
  • Monitor adherence to charters, codes of conduct, conflict-of-interest policies, whistleblower policies across the group while participating in fit-and-proper assessments for directors and key officers.

What you bring:

To excel as a Compliance Officer within this organisation’s dynamic environment based in BGC Taguig (hybrid), you should bring substantial experience gained from working in compliance roles at banks or fintech companies or other financial institutions. Your deep familiarity with BSP regulations—including audit procedures—and your proven ability to support SEC compliance requirements will be invaluable as you guide product teams through complex regulatory landscapes. A solid understanding of both B2B and B2C financial products will enable you to provide meaningful oversight during product development phases. Ideally holding a bachelor’s degree in Law or Business Administration or Public Administration or related discipline—and possessing at least five years’ experience in corporate governance or legal or compliance roles—you are equipped to handle multifaceted responsibilities involving board-level committee coordination as well as policy monitoring. Your strong organisational skills ensure that deadlines are met without compromising quality; your attention to detail guarantees accuracy; your excellent communication abilities facilitate clear reporting; your stakeholder management skills help build trust among colleagues; your capacity for cross-functional collaboration supports communal achievement.

  • Experience working in compliance within a bank or fintech or financial services institution is essential for understanding complex regulatory environments.
  • Strong exposure to BSP regulations as well as experience handling regulatory audits ensures you can navigate local compliance requirements effectively.
  • Proven track record supporting SEC compliance requirements demonstrates your familiarity with legal frameworks governing financial institutions.
  • Familiarity with financial products including both B2B and B2C offerings allows you to provide insightful oversight during product development stages.
  • Experience handling or supporting product compliance within financial services is highly preferred for this role given its focus on diverse offerings.
  • Bachelor’s degree in Law or Business Administration or Public Administration or related field provides foundational knowledge necessary for success.
  • Minimum five years’ experience in corporate governance or legal or compliance roles within financial institutions ensures you bring depth of expertise.
  • Understanding of regulatory expectations from BSP or SEC or SG regulators on governance enables you to implement best practices across the group.
