Our client is seeking a dedicated and diligent Legal Associate to join their team. This newly opened role offers an exciting opportunity to provide legal counsel in the dynamic field of renewable energy. The successful candidate will be involved in project development, EPC, M&A, financing, business structure, corporate compliance and more. This role requires a qualified lawyer with experience in drafting and negotiating a wide variety of commercial agreements. The ideal candidate will have experience working in the renewable energy industry or for renewable energy clients. What you'll do:

As an Associate in Legal role, you will play a crucial part in providing comprehensive legal advice across various aspects of the business. Your day-to-day responsibilities will include providing counsel on matters related to renewable energy, project development and corporate compliance among others. You will also be responsible for drafting and reviewing various types of agreements while assisting with transactions and financial closures. Your role will extend to providing ad hoc legal advice considering the overall business interests of the company. Furthermore, you will liaise with external legal advisors ensuring quality and consistency of service. Your role will also involve handling cases related to dispute resolution and risk management.

  • Establish and maintain effective liaison with external legal counsel, overseeing their work and ensuring alignment with the company's objectives and standards.
  • Foster seamless collaboration and communication with various departments within the organization, leveraging synergies to optimize operational efficiency and achieve shared goals.
  • Manage and provide expert guidance on matters related to dispute resolution, risk mitigation, and compliance, employing proactive strategies to safeguard the company's interests.
  • Offer comprehensive legal guidance and strategic counsel pertaining to all aspects of renewable energy, including project development, Engineering, Procurement, and Construction (EPC), mergers and acquisitions (M&A), financing arrangements, business structuring, and corporate compliance.
  • Offer invaluable support in the meticulous planning and execution of projects, collaborating closely with cross-functional teams to ensure alignment with strategic objectives and legal compliance.
  • Play a pivotal role in facilitating the seamless execution of transactions and financial closures, ensuring compliance with all legal and regulatory requirements throughout the process.
  • Provide timely and insightful ad hoc legal and commercial advice, typical of an in-house legal position, to address emerging issues and support key business decisions.
  • Skillfully draft, meticulously review, and adeptly negotiate a wide array of agreements, including those concerning land use, development services, joint ventures, sales and purchases, financing, and off-take agreements, along with other pivotal commercial contracts.

What you bring:

As an Associate in Legal role, you will bring a wealth of experience and knowledge to the team. You are a qualified lawyer, admitted to practice law in the Philippines, with a proven track record in negotiating and drafting a wide variety of commercial agreements. Your experience in the renewable energy industry or working for renewable energy clients will be highly valued. You have the ability to work confidently both independently and as part of a team, approaching your work with diligence and attention to detail. Your ability to understand commercial arrangements fully and thoroughly will be key to your success in this role.

  • Demonstrate proficiency in negotiating and drafting an extensive range of Commercial Agreements such as PSA, Project Financing, and EPC.
  • Exhibit the ability to function effectively both autonomously and collaboratively within a team-oriented environment, demonstrating self-assurance and adaptability in varied work settings.
  • Execute end-to-end Mergers & Acquisition or Joint Venture process from the transaction to the corporate restructuring.
  • Possess a comprehensive understanding of commercial arrangements, including their legal implications and operational significance, enabling informed decision-making and strategic planning.
  • Possess a valid license to practice law in the Philippines.
  • Preferred experience working within the renewable energy sector or serving clients in the renewable energy industry, highlighting familiarity with industry-specific nuances and regulations.
  • Previous engagement with international law firms or multinational corporations is advantageous, reflecting exposure to cross-border legal practices and global business operations.
