This Senior Counsel will oversee the Legal, Compliance, and Procurement functions, reporting directly to the Regional Legal team. The position offers a hybrid working arrangement based in Taguig and operates on a US Timezone shift. The ideal candidate will have over 10 years of experience in the healthcare sector within a multinational company setting.
Our client is seeking a Senior Counsel for Legal, Compliance and Procurement professional to serve as the primary legal partner to leaders of a division within their business unit. This role involves providing counsel on legal issues, risk mitigation guidance, and services to domestic and international businesses in support of customer, vendor, supplier, and strategic relationships. The successful candidate will be responsible for drafting and negotiating commercial contracts with external parties on behalf of the business, protecting the business’ interests and ensuring that contracts are compliant.
What you'll do:
As a Senior Counsel, your role will involve liaising with a variety of Legal and other internal teams to resolve legal issues while participating in and providing input on business strategy. You will act as the primary day-to-day legal contact for business clients, providing excellent client service, counselling assigned division leaders on a variety of legal issues, serving as a trusted partner to the business proactively identifying legal risks, providing insights on how the business can incorporate risk mitigation into strategic planning.
- Collaborate with subject matter experts from other teams, such as Litigation, Regulatory Counsel, and Compliance, to ensure comprehensive legal support.
- Demonstrate strong business acumen in drafting and negotiating contracts, and handle a fast-paced, high-volume workload.
- Develop and conduct legal training for business clients, maintain up-to-date legal knowledge, and provide clear, precise guidance on business and legal risks, ensuring compliance with company policies and applicable regulations.
- Effectively communicate with all levels of the organization and provide excellent client service.
- Identify legal and compliance issues and business risks, escalating appropriately.
- Interface with Contract Administration teams to set up contracts, draft or revise commercial agreements, negotiate terms with external parties, and manage iterations of agreement terms to achieve favorable outcomes for the business.
- Proactively identify opportunities for process improvements and efficiencies, including enhancements to contract templates based on changes in legal requirements or business strategies.
- Provide proactive and pragmatic legal advice to global business clients, leveraging advanced knowledge of commercial healthcare transactions and relevant laws and regulations.

As a Senior Counsel, you bring a wealth of experience in providing sound, practical judgment in the interpretation and application of relevant laws. Your excellent writing, contract drafting, negotiating skills, ability to provide clear guidance on business and legal risks make you an ideal candidate for this role. You have proven experience in developing and conducting legal training for business clients. Your ability to understand complex legal situations discern relevant versus non-relevant facts is crucial for this role.
- 10+ years of legal experience in a relevant field, preferably within a large, complex organization. Extensive experience in commercial/transactional law is required, with a preference for knowledge in healthcare law and Anti-Money Laundering (AML).
- Ability to develop and deliver legal training programs for business clients. Commitment to staying current with legal developments and best practices, ensuring compliance with company policies and relevant regulations.
- Advanced understanding of commercial healthcare transactions, relevant laws, and regulations. Ability to identify, assess, and mitigate legal and compliance risks effectively.
- Exceptional communication skills, capable of engaging and influencing stakeholders at all levels of the organization. Demonstrated ability to provide clear, actionable legal guidance and counsel.
- Experience collaborating with cross-functional teams, including Litigation, Regulatory Counsel, and Compliance, to deliver comprehensive legal support and solutions.
- Juris Doctor degree with outstanding academic performance in undergraduate and law school. Must hold a valid license to practice law.
- Proven ability to proactively identify and implement process improvements and efficiencies. Experience in optimizing contract templates and legal processes to align with evolving legal requirements and business strategies.
- Proven experience in handling commercial and transactional matters, with a strong track record in drafting, negotiating, and managing complex contracts.
