What you'll do:
As the AVP of Legal, you will play a pivotal role in shaping the legal landscape within the organisation. Your primary responsibilities will include developing comprehensive data privacy policies, managing contracts end-to-end, establishing a robust compliance framework, and leading the legal team. You will also be responsible for overseeing litigation and M&A transactions, managing legal disputes, and staying up-to-date with regulatory requirements. Your strategic approach will ensure that the organisation's legal strategy aligns with its overall business objectives.
- Develop and implement comprehensive data privacy policies and practices, ensuring strict compliance with all applicable laws and regulations to safeguard customer and corporate data effectively.
- Drive the end-to-end management of contracts, overseeing drafting, reviewing, and finalizing to ensure accuracy, compliance, and mitigation of legal risks.
- Establish and enforce a robust compliance framework, consistently monitoring and adapting to changes in laws and regulations to ensure the bank's operations remain fully compliant.
- Lead and mentor the legal team, fostering a culture of excellence, collaboration, and continuous learning, ensuring both the department's success and individual professional growth.
- Manage legal disputes efficiently, working closely with external counsel when necessary, to protect the bank's interests and resolve legal matters promptly.
- Oversee and develop the legal strategy, ensuring it aligns with the overall business objectives of the banking institution and supports its long-term goals.
- Oversee legal aspects of litigation and M&A transactions, providing expertise in due diligence, negotiation, and documentation to support successful acquisitions and other strategic initiatives.
- Possess extensive experience in corporate legal roles within the financial services or banking industry, demonstrating a deep understanding of sector-specific legal challenges and requirements.
- Stay abreast of regulatory requirements, particularly those related to PSP, the SEC, and other relevant bodies, providing guidance to ensure organizational compliance.

The ideal candidate for this AVP of Legal role brings substantial experience in corporate legal, with experience managing a team of lawyers. You have a successful track record in ensuring compliance with regulations and possess in-depth knowledge of BSP regulations for commercial banks. With your background in banking or financial services or at a distinguished law firm, you are proficient at identifying and mitigating legal risks. Your ability to align legal strategies with broader business objectives emphasises your strategic approach.
- Demonstrate 10 to 15 years of substantial experience in corporate legal roles, with at least 5 years in a managerial capacity, reflecting a strong foundation in legal leadership and team management.
- Exhibit comprehensive knowledge and practical experience with BSP regulations for commercial banks, ensuring a deep understanding of regulatory environments and compliance requirements.
- Experience in litigation and mergers and acquisitions (M&A), providing expertise in handling complex legal disputes and supporting strategic business transactions through due diligence, negotiation, and documentation.
- Philippines Bar Certified, hold an active certification relevant to Philippine regulations.
- Possess a robust background in banking, financial services, or with a distinguished law firm, reflecting significant industry experience and a solid understanding of sector-specific legal issues.
- Proficient in identifying and mitigating legal risks effectively, highlighting a proactive approach to risk management and the ability to address potential legal challenges before they escalate.
- Demonstrate the ability to align legal strategies with broader business objectives, emphasizing a strategic and holistic approach to integrating legal considerations with organizational goals.
- Proven success in ensuring compliance with the Manual of Regulations for Banks (MORB), showcasing expertise in navigating and interpreting complex regulatory frameworks specific to the banking sector.
