What you'll do:
As Legal Principal based in Makati, you will become an integral part of a highly regarded legal department where your day-to-day activities will centre around supporting robust corporate governance frameworks. Your responsibilities will include facilitating seamless board operations by preparing accurate meeting documentation and acting as Assistant Corporate Secretary when needed. You will provide expert legal counsel on intricate matters, both locally and internationally, ensuring that all agreements align with best practice standards. Assist in delivering high-quality legal services by monitoring regulatory developments and ensuring relevant stakeholders are kept fully informed of changes affecting the organisation.

Assist in fulfilling corporate secretarial functions, including statutory housekeeping for the company and its affiliates, and attending stockholders’, board, and committee meetings as required.

File, monitor, and ensure full compliance with statutory, documentary, and reportorial requirements prescribed by regulators such as the Securities and Exchange Commission and the Insurance Commission.

Liaise with regulatory authorities on statutory and governance matters, including oversight of annual reports, ESG disclosures, and mandated training and compliance programmes.

Monitor regulatory and legislative developments and promptly cascade relevant updates to senior management and key business units.

Prepare board resolutions, meeting minutes, secretary’s certificates, and other corporate documents required for effective business operations across affiliate entities.

Prepare legal advice and formal legal opinions on complex issues following detailed legal research as assigned by senior leadership.

Represent the organisation and its affiliates in proceedings before courts, quasi-judicial bodies, and administrative agencies such as the National Labor Relations Commission, Department of Trade and Industry, National Privacy Commission, and other relevant authorities.

Review local and international contracts, proposals, and complex legal instruments to safeguard the organisation’s legal and commercial interests.

Support the Corporate Secretary by managing corporate meetings, preparing detailed minutes, and acting as Assistant Corporate Secretary for the company and its subsidiaries.

Hold a Bachelor of Laws degree from a recognised institution with active membership in the Integrated Bar of the Philippines; being a Notary Public or willingness to apply is preferred.
